1. Introduction
Welcome to Urcar, a marketplace connecting car sellers and buyers with optional independent inspection services. By accessing or using our website, you agree to these Terms & Conditions.
2. Services
Sellers may list vehicles for sale.
Buyers may browse listings and request independent inspections.
Inspections are performed by third‑party inspectors, not by UrCar.
Urcar provides the platform but does not own, sell, or inspect vehicles.
3. User Responsibilities
Sellers: Must provide accurate information about vehicles. Misrepresentation may result in removal.
Buyers: Responsible for reviewing inspection reports and making purchase decisions.
Inspectors: Independent contractors responsible for the accuracy of their reports.
4. Fees & Payments
Listings are free unless upgraded to premium/featured.
Inspection fees are paid by buyers or sellers depending on the chosen option.
Urcar may retain a commission or service fee from inspection payments.
Future services may include transaction commissions or subscriptions.
5. Limitation of Liability
Urcar is not responsible for the condition, quality, or legality of vehicles listed.
Urcar does not guarantee that inspections will identify all defects.
Urcar is not liable for disputes between buyers, sellers, or inspectors.
6. Dispute Resolution
Disputes regarding inspections or sales must be resolved directly between buyer, seller, and inspector.
Urcar may assist in mediation but is not obligated to resolve disputes.
7. Termination
Urcar reserves the right to suspend or terminate accounts that violate these Terms.
8. Governing Law
These Terms are governed by the laws of South Africa.
Any disputes shall be subject to the jurisdiction of South African courts.

Supplier Agreement
This Agreement is made and entered into on [16 June 2025]
Between: Urcar Parts (PTY) Ltd (“Marketplace”)
And: “Supplier”
1. Purpose
This Agreement sets forth the terms and conditions under which the Supplier will list, sell, and fulfill products or services through the Urcar Parts marketplace platform.
2. Supplier Obligations
The Supplier agrees to:
– Accurately list and describe all products and services.
– Ensure all items are legal, safe, and in working condition.
– Honor orders and deliver products/services in a timely manner.
– Maintain sufficient stock of listed items.
– Respond to customer and platform inquiries promptly.
3. Urcar Parts Responsibilities
Urcar Parts (PTY) Ltd will:
– Provide a platform for listing and selling products/services.
– Facilitate customer communication and payment processing.
– Charge a commission or fee as per the agreed structure.
– Provide reasonable technical support for platform access.
4. Fees and Payment Terms
– The Marketplace shall retain a [10%] commission on each successful transaction.
– Payments to the Supplier will be remitted within [7-14] business days after the transaction, less applicable fees.
– All payment disputes must be submitted in writing within [10] business days.
5. Product Inspections
– Products, especially vehicles, may be subject to diagnostic inspections.
– The Supplier consents to the release of relevant product information to inspectors and buyers.
– Urcar Parts is not liable for inspection outcomes or decisions based on them.
6. Warranties and Representations
The Supplier warrants that:
– They are the legal owner of listed products or have authorization to sell them.
– All descriptions are accurate and do not mislead the buyer.
– No product violates any law or regulation.
Supplier indemnifies Urcar Parts against claims from breaches of these warranties.
7. Intellectual Property
The Supplier grants Urcar Parts a non-exclusive, royalty-free license to use, reproduce, and display product content for marketing and platform use.
8. Term and Termination
– This Agreement begins on the effective date and remains in force until terminated by either party.
– Either party may terminate this agreement with [14] days written notice.
– Breach of terms may result in immediate termination by Urcar Parts.
9. Confidentiality
Each party agrees to keep confidential all proprietary information received from the other party and to use such information only for purposes of this Agreement.
10. Limitation of Liability
Urcar Parts shall not be liable for any indirect, incidental, or consequential damages arising out of this Agreement. Total liability shall be limited to the commission earned on the disputed transaction.
11. Governing Law
This Agreement shall be governed by the laws of the Republic of South Africa. Disputes will be resolved in a court of competent jurisdiction.
12. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements. Any changes must be in writing and signed by both parties.

1. Introduction
Welcome to Urcar Parts (PTY) Ltd (“we”, “us”, “our”). This User Agreement (“Agreement”) governs your use of our platform, including the website, mobile application, and related services (collectively, the “Platform”). By registering or using our Platform, you agree to be bound by this Agreement.
2. Eligibility
By using the Platform, you confirm that you are at least 18 years old and have the legal capacity to enter into this Agreement. If you are using the Platform on behalf of a business or another legal entity, you represent that you have authority to bind that entity.
3. Account Registration
To access certain features of the Platform, you must register an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
4. User Responsibilities
You agree to:
Use the Platform only for lawful purposes.
Not misrepresent your identity or list false information.
Comply with all applicable laws and our posted policies.
Treat other users (buyers, sellers, inspectors) with respect and professionalism.
5. Buying and Selling
All transactions on the Platform are between the buyer and the seller. Urcar Parts is not a party to these transactions.
Users must ensure that all information related to listings and purchases is accurate.
Payments are processed through third-party providers. Urcar Parts is not liable for payment processing errors.
6. Diagnostic Inspections
Users may request or offer diagnostic inspections.
Inspectors operate independently and are not employees or agents of Urcar Parts.
Urcar Parts is not responsible for inspection results or any decisions made based on them.
7. Fees and Charges
Urcar Parts may charge fees for transactions, premium listings, or services.
Users will be notified of applicable fees prior to completing a transaction.
All fees are non-refundable unless otherwise stated.
8. Intellectual Property
All content on the Platform, including logos, text, graphics, and software, is owned or licensed by Urcar Parts and is protected by law. You may not copy, modify, or distribute any content without our written permission.
9. Suspension and Termination
We may suspend or terminate your account at any time for violating this Agreement or applicable laws. You may also deactivate your account at any time by contacting support.
10. Limitation of Liability
Urcar Parts is not liable for any indirect, incidental, or consequential damages arising from your use of the Platform. We provide the Platform “as is” and do not guarantee that it will be error-free or uninterrupted.
11. Indemnification
You agree to indemnify and hold harmless Urcar Parts, its affiliates, and personnel from any claims, liabilities, damages, and expenses arising out of your use of the Platform or violation of this Agreement.
12. Governing Law
This Agreement is governed by the laws of the Republic of South Africa. Disputes will be resolved in the courts of South Africa.
13. Changes to this Agreement
We may update this Agreement from time to time. You will be notified of any significant changes. Continued use of the Platform constitutes acceptance of the updated terms.

Independent Inspector Agreement

Between:
Urcar Parts (PTY) Ltd, Company” / “Marketplace
and
Inspector
1. Engagement
Urcar Parts engages the Inspector as an independent contractor to perform vehicle diagnostic inspections and related services on behalf of buyers and sellers using the Urcar Parts platform. The Inspector accepts this engagement under the terms outlined below.
2. Independent Contractor Status
The Inspector is not an employee, agent, or representative of Urcar Parts.
The Inspector is responsible for their own tools, transport, tax obligations, and insurance.
Nothing in this Agreement creates a joint venture, partnership, or employment relationship.
3. Scope of Work
Conduct visual and diagnostic inspections of vehicles and provide written reports.
Perform assessments objectively, accurately, and without bias.
Submit inspection results through the Urcar Parts platform or designated method within the agreed timeframe.
Maintain confidentiality and avoid any conflict of interest with buyers, sellers, or competitors.
4. Performance Standards
Inspections must comply with applicable laws, industry best practices, and marketplace guidelines.
Reports must include clear photos, observations, and diagnostic outcomes.
Delays, misconduct, or unprofessional behavior may result in removal from the marketplace.
5. Payment Terms
The Inspector will be paid per inspection at the rate agreed upon in writing.
Urcar Parts will remit payment within [7–14] business days after the inspection is completed and approved.
The Inspector is responsible for invoicing and maintaining accurate financial records.
6. Tools and Licenses
The Inspector must provide their own diagnostic tools and software.
The Inspector must hold all licenses, certifications, or permits required to perform inspections in their region.
7. Insurance
The Inspector shall maintain public liability and any relevant professional indemnity insurance to cover their services.
Proof of insurance must be provided upon request.
8. Non-Exclusivity
This agreement is non-exclusive. Urcar Parts may engage other inspectors, and the Inspector may provide services to other clients, so long as it does not interfere with this agreement.
9. Termination
Either party may terminate this agreement with 14 days’ written notice.
Urcar Parts may terminate immediately for misconduct, misrepresentation, or breach of any clause.
10. Limitation of Liability
Urcar Parts shall not be liable for any loss, damages, or injuries resulting from inspections.
The Inspector agrees to indemnify Urcar Parts for claims arising from their actions or omissions.
11. Governing Law
This Agreement is governed by the laws of the Republic of South Africa.
Any disputes shall be resolved in a court of competent jurisdiction in South Africa.
12. Entire Agreement
This Agreement constitutes the full understanding between the parties.
No verbal agreement or modification shall be binding unless in writing and signed by both parties.
